Item 2.01.

Completion of Acquisition or Disposition of Assets.

 

On May 30, 2012, RLJ Lodging Trust (the “Company”) closed on the acquisition of the 226-room Courtyard New York Manhattan/Upper East Side located in New York, New York (the “Hotel”).  The Company acquired the Hotel from Madison 92nd Street Associates, LLC (the “Seller”) for $82.0 million in cash, which the Company funded with a combination of cash available on its balance sheet and borrowings under its revolving credit facility. The Seller has no material relationship with the Company or any of its affiliates, other than through the purchase contract related to the acquisition of the Hotel.
