Item 8.01 Other Events.
On June 1, 2012, EDAC Technologies Corporation entered into a stock purchase agreement with EBTEC Corporation (“EBTEC”), pursuant to which EDAC acquired all of the outstanding stock of EBTEC for approximately $11 million. The acquisition closed simultaneously therewith. A copy of the press release is attached hereto as Exhibit 99.1 to this Form 8-K and is incorporated by reference.
