Item 8.01 Other Events.
On May 29, 2012, Kingold Jewelry, Inc. announced that it has entered into a gold-processing agreement with Shenzhen TongXin Jewelry Ltd., a large Shenzhen-based wholesaler of jewelry products. A copy of the press release is attached as Exhibit 99.1 to this report and is incorporated by reference herein.
