Item 5.07                                           Submission of Matters to a Vote of Security Holders.

On May 22 2012, Georgetown Bancorp, Inc. (the “Company”) held its Annual Meeting of Shareholders.  At the Annual Meeting, shareholders considered the election of directors and the ratification of the Company’s independent registered public accounting firm.  A breakdown of the votes cast is set forth below.

2.              The ratification of the appointment of Shatswell, MacLeod & Company, P.C. as the Company’s independent registered public accounting firm for the year ending December 31, 2012.
