Item 3.01.                                  Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

 

On May 21, 2012, BIDZ.com, Inc. (the “Company” or “Bidz”) received a letter from the Nasdaq Stock Market (“Nasdaq”) notifying the Company that Nasdaq has determined to initiate procedures to delist the Company’s securities from the Nasdaq Capital Market because the Company did not regain compliance with Nasdaq’s independent director and audit committee composition requirements as set forth in Listing Rule 5605. The Company previously disclosed in the Company’s Form 8-K filed on January 13, 2012, that it no longer complied with those requirements, and that Nasdaq had provided the Company a cure period in order to regain compliance until the earlier of the Company’s next annual shareholders’ meeting or May 17, 2012.

 

The Company intends to appeal the delisting determination by Nasdaq pursuant to procedures set forth in the Nasdaq Listing Rule 5800 series. While the appeals process is pending, the suspension of trading of the Company’s common stock will be stayed, and the common stock will continue to trade on the Nasdaq Capital Market.
