The Company held its Annual Meeting of Shareholders on May 16, 2012 (the “Annual Meeting”). A quorum of shareholders was present, consisting of a total of 1,877,512 shares. At the Annual Meeting, the shareholders of the Company elected three directors to serve for three-year terms. The voting results for each director are as follows:
