Item 2.02. Results of Operations and Financial Condition.
In a press release dated May 16, 2012, a copy of which is attached hereto as Exhibit 99.1, and the text of which is incorporated by reference herein, Post Holdings, Inc. announced that it is postponing the filings of its restated financial statements, the release of its financial results and the filing of its Quarterly Report on Form 10-Q for the fiscal quarter ended March 31, 2012 in order to allow Ralcorp Holdings, Inc. to conclude both the internal and external in-depth reviews associated with its previously announced financial restatements.
