On May 15, 2012, Joel B. McCarty, Jr., the Senior Vice President, General Counsel and Secretary of Old Dominion Freight Line, Inc. (the “Company”), informed the Company that he would retire from the Company effective July 5, 2012. Mr. McCarty will resign from his positions as General Counsel and Secretary of the Company effective May 22, 2012, but he will retain his responsibilities as Senior Vice President until his retirement on July 5, 2012.
