Item 2.02 Results of Operations and Financial Condition
On May 16, 2012, Inrad Optics, Inc. (the “Company”) issued a press release announcing its financial results for the three months ended March 31, 2012. A copy of the Company’s press release is attached as Exhibit 99.1 to this Form 8-K.
Item 7.01 Regulation FD Disclosure
The Company will commence mailing of its 2011 Annual Report together with its Proxy Statement to shareholders, on or about May 17, 2012. A copy of the CEO’s letter included in the Annual Report is attached hereto as Exhibit 99.2 and furnished herewith.
