Other Events

On May 16, 2012, the Registrant issued a press release announcing that it has extended its offer to the holders of the $595,504,000 aggregate principal amount of its 4.837% Notes due 2041 and $4,492,000 aggregate principal amount of its 6.00% Senior Notes due 2111, to exchange such notes for like principal amounts of notes having identical terms other than that such new notes have been registered under the Securities Act of 1933, as amended. The exchange offer, which had been scheduled to expire on May 16, 2012 at 5:00 p.m., New York City time, will now expire at 5:00 p.m., New York City time, on Wednesday, May 23, 2012, unless further extended by the Registrant. The press release is attached as Exhibit 99.1 hereto and is incorporated herein by reference.
