Item 8.01. Other Events.
On May 15, 2012, Wilmington Trust Company, solely in its capacity as trust administrator and trustee of the Motors Liquidation Company GUC Trust, acting pursuant to Section 6.2 of the Motors Liquidation Company GUC Trust Agreement dated as of March 30, 2011 and between the parties thereto, or the GUC Trust Agreement, filed the GUC Trust Reports (as such term is defined in the GUC Trust Agreement) with the Bankruptcy Court for the Southern District of New York, which GUC Trust Reports contain: (i) the GUC Trust financial statements and related notes thereto as at and for the year ended March 31, 2012; and (ii) restatements of the GUC Trust unaudited Statements of Changes in Net Assets in Liquidation as of and for each of the quarters ended June 30, 2011, September 30, 2011 and December 31, 2011.
