Item 2.02 Results of Operations and Financial Condition.
On May 15, 2012, Spanish Broadcasting System, Inc. (the “Company”) issued a press release announcing its financial results for the quarter ended March 31, 2012. A copy of the press release is attached hereto as Exhibit 99.1.

Item 8.01 Other Events.
The annual meeting of the stockholders of the Company will be held on June 7, 2012 (the “Annual Meeting”). The close of business on April 9, 2012, was the record date for determining the stockholders of the Company who are entitled to notice of, and to vote at, the Annual Meeting.
