Item 7.01 Regulation FD Disclosure.
On May 14, 2012, Spectrum Brands Holdings, Inc. (“Spectrum”), a majority owned subsidiary of Harbinger Group Inc. (“HGI”), issued a press release announcing that it will participate in the Citi 2012 Global Consumer Conference on May 22, 2012 in New York City. Spectrum’s presentation is scheduled to commence at 11:35 a.m. Eastern Time (10:35 a.m. Central Time).
