SUBMISSION OF MATTERS TO A VOTE OF SECURITY HOLDERS.

The annual meeting of the shareholders was held on May 3, 2012, in Tyler, Texas. Four directors were elected for a term of three years. The appointment of PricewaterhouseCoopers LLP as independent registered public accounting firm for the fiscal year ending December 31, 2012, was ratified.
