Item 2.03.
Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant
On May 9, 2012, National Health Investors, Inc. announced that it has entered into a 7-year interest rate swap agreement with a bank counterparty to fix the annual interest rate at 3.04% on the $40 million, 7-year term loan that was included in NHI's $320 million bank credit facility announced on May 1, 2012. The term loan had a floating interest rate of 150 basis points over LIBOR.
