The unaudited consolidated financial statements as of and for the Quarter ended March 31, 2012 of Duke Energy Corporation are included in its Quarterly Report on Form 10-Q for the Quarter ended March 31, 2012 filed on May 9, 2012. The unaudited consolidated financial statements as of and for the Quarter ended March 31, 2012 of Progress Energy, Inc. are included in its Quarterly Report on Form 10-Q for the Quarter ended March 31, 2012 filed on May 8, 2012 (the “Progress Energy 10-Q”), and such unaudited consolidated financial statements are attached herein as Exhibit 99.1.

Unaudited pro forma condensed combined consolidated financial information for the year ended December 31, 2010 was previously included in the Registration Statement on Form S-4 (the “Form S-4”) of Duke Energy Corporation filed on March 17, 2011 and amended on April 8, 2011, April 25, 2011, May 13, 2011, June 20, 2011 and declared effective by the SEC on July 7, 2011. Unaudited pro forma condensed combined consolidated financial information for the year ended December 31, 2011 was previously filed on the Form 8-K dated March 2, 2012 as Exhibit 99.2. Unaudited pro forma condensed combined consolidated financial information for the quarter ended March 31, 2012 is attached hereto as Exhibit 99.2. Throughout Exhibit 99.2, references to “this document” or any Notes, shall be references to the Form S-4 and the Notes therein.
