Item 8.01. Other Events
On May 10, 2012, Westway Group, Inc. (the "Company") issued a press release announcing that on May 9, 2012, its Board of Directors declared a quarterly dividend of $0.04 per share of common stock payable to holders of record of the Company's common stock and participating preferred stock on May 23, 2012 in cash or shares of the Company's common stock, or a combination thereof, at the election of each shareholder. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
