Item 8.01 Other Events.
On May 9, 2012, Synergy Pharmaceuticals Inc. (the “Company”) issued a press release announcing the closing of its public offering of 10,000,000 shares of its common stock at a price of $4.50 per share, less underwriting discounts and commissions. The Company has also granted the underwriters a 45-day option to purchase up to an additional 1,500,000 shares of its common stock to cover over-allotments, if any. A copy of the press release is included as Exhibit 99.1 to this Current Report on Form 8-K.
