On May 7, 2012, Diane M. Miller submitted her resignation as Executive Vice President and Chief Creative Officer of Peoples Educational Holdings, Inc. (the “Company”), effective May 31, 2012. Ms. Miller will continue to serve as a member of the Board of Directors of the Company. The Company will pay Ms. Miller an amount equal to her base salary of $190,550 over the 12-month period following the effective date of her resignation. Ms. Miller will be subject to non-competition and non-solicitation covenants for such 12-month period.
