Item 2.02                                           Results of Operations and Financial Condition.


On May 8, 2012, McEwen Mining Inc. (the “Company”) issued a press release announcing a summary of its first quarter 2012, including operational and development updates for its projects in Argentina, Mexico and Nevada.  A copy of the press release is attached to this report as Exhibit 99.1.
