Section 5 – Corporate Governance and Management.

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

At the Annual Meeting of Stockholders held on May 2, 2012, the stockholders of Unit Corporation (the “Company”) approved the Unit Corporation Stock and Incentive Compensation Plan Amended and Restated May 2, 2012 (the “Amended Plan”).  The Amended Plan was previously approved by the Company’s board of directors, subject to stockholder approval.

The Amended Plan allows the Company to grant stock-based and cash-based compensation to employees (including employees of subsidiaries) as well as non-employee directors.  A total of 3,300,000 shares of the company’s stock is authorized for issuance to eligible participants under the Amended Plan.  The Amended Plan succeeds the Non-employee Directors’ 2000 Stock Option Plan (the “Option Plan”), and no new awards will be issued under the Option Plan.

All ten of our directors and approximately 520 employees of the Company and its subsidiaries are currently eligible for awards under the Amended Plan.  The Amended Plan is administered by the Compensation Committee of the Board of Directors (the “Committee”), and permits awards in any one or a combination of the following forms for both employees and non-employee directors: nonqualified stock options, stock appreciation rights, restricted stock, restricted stock units, performance shares, performance units, cash-based awards, and other stock-based awards.  Additionally, employees (but not non-employee directors) may be granted incentive stock options under the Amended Plan.  Both stock-based and cash-based awards under the Amended Plan may be made subject to achievement of any of eighteen specified performance goals (singly or in any combination) selected by the Committee.

A more detailed description of the Amended Plan, and the differences between the Amended Plan and the prior version of the plan, is set forth in the Company’s Proxy Statement on Schedule 14A for its 2012 Annual Meeting of Stockholders, filed with the Securities and Exchange Commission on March 16, 2012 (the “2012 Proxy Statement”).  The Amended Plan is filed as Exhibit 10 to this Current Report on Form 8-K and is incorporated by reference as though fully set forth herein.
