Item 8.01 Other Events.

On April 27, 2012, Vermillion, Inc. (the “Company”) issued a press release announcing that the Company’s board of directors has unanimously nominated Paul R. Sohmer, M.D. for election as a director at the Company’s upcoming 2012 annual meeting of stockholders. A copy of the Company’s press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

Important Additional Information

In connection with its 2012 annual meeting of stockholders, the Company will file with the Securities and Exchange Commission (“SEC”) a definitive proxy statement and other documents regarding the 2012 annual meeting, and will also mail to each stockholder of record entitled to vote at the 2012 annual meeting the definitive proxy statement and a proxy card.
