Section 8 – Other Events.
Item 8.01 Other Events.
On May 1, 2012, BKF Capital Group, Inc. (the "BKF"), issued a press release stating that it had sent a letter, dated April 30, 2012 (the “Letter”), to Qualstar Corporation, a publicly held company (“Qualstar”), demanding a special meeting of the shareholders of Qualstar to vote to remove the incumbent members of the board of directors, to fix the authorized number of directors and to elect new members to the board of directors. BKF owns 16.2% of Qualstar’s shares and is making the demand in accordance with Qualstar’s bylaws. The securities of Qualstar trade on the NASDAQ Market under the symbol “QBAK.” A copy of the press release containing the text of the Letter is attached to this report as Exhibit 99.1.
