On April 30, 2012, Allscripts Healthcare Solutions, Inc. (the “Company”) issued a press release announcing that (i) the Company’s Board of Directors has authorized the Company’s management to repurchase an additional $200 million of the Company’s common stock under its existing share repurchase program, bringing the total repurchase authorization that remains available to approximately $348 million, and (ii) the Company’s Board of Directors has elected Dennis Chookaszian as Chairman of the Board of Directors. A copy of the press release is attached as Exhibit 99.1 hereto, and is incorporated herein by reference.
