Explanatory Note
This Amendment No. 1 to the Form 8-K, filed on April 27, 2012 with respect to the first quarter 2012 earnings release (the "Original Filing") is being restated in its entirety to include the signature page.

On April 27, 2012, Reliance Bancshares, Inc. issued a press release announcing its financial results for the first quarter of fiscal year 2012, ended March 31, 2012. A copy of this press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
