Item 2.03 Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.
On April 20, 2012, we obtained CDN$145,000 from several individuals in connection with our proposed acquisition of Naked Boxer Brief Clothing Inc. The advances are interest free loans until May 31, 2012. If we do not complete the acquisition of all the shares of Naked Boxer Brief Clothing Inc. by May 31, 2012, then the advances will be deemed to be unsecured loans which bear simple interest of 8% per annum payable on maturity, which is one year from May 31, 2012. We may repay the principal of the loans and any accrued interest thereon at any time without penalty.
