(b) On April 20, 2012, Tracy D. Daw resigned as Chief Legal Officer and Corporate Secretary of RealNetworks, Inc. (the "Company"), effective as of April 23, 2012. Mr. Daw has been with the Company for 12 years and has stepped down to pursue another career opportunity. The Company has engaged the services of Spencer Stuart, a leading global executive search firm, to conduct a search for a replacement for Mr. Daw.
