Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 19, 2012, Carbonite, Inc. (the “Company”) accepted the resignation of Jeffry Flowers as Chief Architect, to be effective April 30, 2012. Mr. Flowers will continue to be employed by the Company “at-will” as a Technical Advisor through August 31, 2012. Mr. Flowers will also continue to serve on the Company’s Board of Directors.

In addition, on April 19, 2012, Gary Hromadko notified the Company’s Board of Directors that he will not be standing for re-election to the Company’s Board of Directors at the 2012 Annual Meeting of Stockholders. Mr. Hromadko will continue to serve on the Company’s Board of Directors until the 2012 Annual Meeting of Stockholders.
