Dear Partner and Valued Customer:

        DTS (NASDAQ: DTSI) and SRS (NASDAQ: SRSL) today announced a definitive agreement under which DTS (NASDAQ: DTSI) will acquire all outstanding shares of SRS in a cash-and-stock transaction. As one of our most valued partners, we wanted to make sure you are aware of this announcement and assure you that the combined company will continue providing you with the same level of exemplary customer service and technology availability that you are accustomed to.

        Combining SRS with DTS will be highly synergistic while giving our business the resources and capabilities that we need in order to expand our partnerships with key customers, and accelerate the development and growth of our audio technologies.

        For our partners, this is an important development as the combined company will now be able to offer you the most comprehensive integrated suite of audio solutions ranging from voice processing through audio rendering, and from low bit rate applications to high-quality lossless audio delivery. The benefits of having access to the combined company's best-in-class technologies in both audio codec and post processing are significant as you will now be able to license our extensive portfolio of technologies from a single source. In addition, the combined entity will be able to provide you enhanced customer service and support to help you meet and exceed your business objectives.

        We believe that the process of combining the two companies will be seamless given that we share common values, have compatible cultures, and possess complementary capabilities—as well as a commitment to creating and marketing trend-setting products, a passion for research and development, and a relentless devotion to servicing our customers. Combined, we will be a one-stop technology licensing provider with one of the industry's most comprehensive and advanced audio-related patent portfolios.

        While we cannot say for sure when the transaction will close, we anticipate that it could close in a few months, but the closing is subject to, among other things, approval by our shareholders and government regulatory entities. Until the transaction is approved, we will continue as an independent company, and we ask for your continued business and support.
