Item 8.01. Other Events.
The Company has reached an agreement in principle with counsel for plaintiffs in the hot fuels multidistrict litigation pending against the Company and a number of other defendants (In Re Motor Fuel Temperature Sales Practices Litigation, case no. 2:07-md-01840-KHV-JPO) (described in the Companys Form 10-Q for the fiscal quarter ended January 31, 2012), that will, if approved by the court, result in the settlement and dismissal of all claims against the Company in the multidistrict litigation. Based on this agreement, the court has severed plaintiffs claims against the Company from the claims against the remaining defendants which are set for trial on May 7, 2012. The terms of the settlement must be approved by the court prior to becoming final and binding upon the parties, a process that is expected to take several months to complete. The financial impact of the settlement on the Company is not expected to be material.
Pursuant to the requirements of the Securities Exchange Act of 1934, the registrant has duly caused this report to be signed on its behalf by the undersigned, hereunto duly authorized.
