On April 11, 2012, Cal Dive International, Inc., a Delaware corporation (the “Company”), announced by press release that it was forming a joint venture with Flatiron Construction Corp. and Cashman Equipment Corp. to pursue a major offshore wind project. In response to an unsolicited question, the Company’s Chief Financial Officer answered that the Company will hold a 40% interest in the joint venture and that “[t]he joint venture is probably going to be around $700 million to $800 million . . . our share of revenue will be $300 million to $350 million most likely.” The Company makes this filing without admitting that the information contained herein is material.
