Item 2.02                      Results of Operations and Financial Condition.

On April 10, 2012, Sino Agro Food, Inc. (“SIAF”) issued a press release and a related data sheet regarding SIAF’s financial results for its fiscal year ended December 31, 2011. A copy of SIAF’s press release and related data sheets are attached hereto as Exhibit 99.1.
