Item 2.02.    Results of Operations and Financial Condition.

On April 10, 2012, SUPERVALU INC. (the “Corporation”) issued a News Release announcing its financial results for the year ended February 25, 2012, and providing fiscal 2013 earnings per share guidance. A copy of the News Release issued by SUPERVALU INC. in connection with this Item 2.02 is attached as Exhibit 99.1 and incorporated by reference herein.
