Item 8.01 Other Events.
On April 9, 2012, American Realty Capital Healthcare Trust, Inc. (the “Company”) sent a letter to the board of directors of Griffin-American Healthcare REIT II, Inc. (“GAHRII”), notifying GAHRII that the Company is withdrawing its offer to acquire GAHRII.
A copy of the letter to the board of directors of GAHRII is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
