The number of shares outstanding of our common stock as of June 30, 2011, was 3,117,775 shares. The aggregate market value of the common stock held by non-affiliates (2,404,923 shares), based on the closing market price ($5.21) of the common stock as of June 30, 2011 was $12,529,649.

Explanatory Note:

This Amendment No. 1 to the Annual Report on Form 10-K for the fiscal year ended December 31, 2011 (the “Annual Report”) of PhotoMedex, Inc. (the “Registrant”) is being filed solely to attach the consent dated March 30, 2012 of Fahn Kanne & Co. Grant Thornton Israel to Exhibit 23.1 and remove the opinion of the firm from Exhibit 23.1.  The opinion, dated March 30, 2012, of the firm is otherwise found at F-2, Report of Independent Public Accounting Firm.
