Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensation Arrangements of Certain Officers.
(d) On March 20, 2012, the Board of Directors (the “Board”) of Bakken Resources, Inc. (the “Company”) appointed David Deffinbaugh to the Board, effective immediately. Mr. Deffinbaugh fills an existing vacant seat on the Board, to serve until the next annual meeting of the stockholders of the Company. Mr. Deffinbaugh is also currently serving as the Company’s Chief Financial Officer since May 2011.
There is no arrangement or understanding between Mr. Deffinbaugh and the Company, pursuant to which he was selected as a director.
