Explanatory Note  

This Current Report on Form 8-K/A is being filed as an amendment (this “Amendment No. 1”) to the Current Report filed by Fisher Communications, Inc. (the “Company”) with the Securities and Exchange Commission on January 17, 2012 (the “Original Filing”).  This Amendment No. 1 provides updated information with the respect to the disclosure provided in the Original Filing.

Section 5 — Corporate Governance and Management

Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.  

(d)        On March 14, 2012, the Board of Directors of the Company appointed Peter E. Murphy to the Board’s Compensation Committee to replace Paul A. Bible on the Committee effective immediately. Mr. Murphy joined the Board on January 10, 2012 as a Class 3 director to fill an existing vacancy. Mr. Bible is the Company’s non-executive Chairman and the Chairman of the Board’s Nominating and Corporate Governance Committee.
