Item 1.01 Entry into a Material Definitive Agreement.

Effective March 11, 2012, the Company extended the term of its $750 million credit facility for one additional year to March 11, 2016. The extension was previously contemplated and made in accordance with the existing terms of the Amended and Restated Four Year Credit Agreement (Credit Agreement) among SAIC, Inc., as borrower, Science Applications International Corporation, as guarantor, and a syndicate of lending institutions. As of the date of this report, the Company has no borrowings outstanding under the Credit Agreement.
