| Item 3.01 | Notice of Delisting or Failure to Satisfy a Continued Listing Rule; Transfer of Listing. |
On March 13, 2012, Halcón Resources Corporation (“Halcón”) provided written notice to the NASDAQ Stock Market, LLC that Halcón intends to voluntarily delist its common stock from the NASDAQ Global Market (the “NASDAQ”) at the close of trading on March 23, 2012, and intends to transfer the listing of its common stock to the New York Stock Exchange (the “NYSE”) on the next business day, March 26, 2012. Halcón’s common stock has been approved for listing on the NYSE, and will continue to trade under the stock symbol “HK” on the NYSE.
A copy of the press release issued by Halcón in connection with the transfer of its listing from the NASDAQ to the NYSE is attached hereto as Exhibit 99.1 and is incorporated by reference in this Item 3.01.
