Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On March 6, 2012, the Company appointed Michael Smith (“Mr. Smith”) to be the Company’s principal accounting officer effective as of March 7, 2012. As previously announced, Bryan D. Smith resigned as Chief Accounting Officer effective five business days following the filing of our fiscal year 2011 10-K.
Mr. Smith, 45, has served as the Chief Accounting Officer of CapitalSource Bank since October 2009. Previously, Mr. Smith served as Senior Vice President, Finance of CapitalSource Bank from July 2008 until September 2009. Mr. Smith served as the Chief Accounting Officer of Fremont Investment & Loan from May 2004 until July 2008. Mr. Smith received his masters and undergraduate degrees from Brigham Young University in 1992, became a certified public accountant in the state of California in 1996 and became a certified management accountant in 1997.
