Item 1.01. Entry into a Material Definitive Agreement.
On March 5, 2012, Power Integrations International, Ltd. (“PI”), a wholly owned subsidiary of Power Integrations, Inc., a Delaware corporation (the “Company”), and X-FAB Semiconductor Foundries AG, a German corporation (“X-FAB”), entered into a Wafer Supply Agreement effective as of October 1, 2010 (the “Agreement”), pursuant to which PI will acquire wafers for certain integrated circuit products from X-FAB based on forecasts that PI provides to X-FAB.
