This Current Report on Form 8-K/A (this Amendment) updates information disclosed in a Current Report on Form 8-K filed on November 18, 2011 (the Original Form 8-K), relating to the 2011 Annual Meeting of Stockholders of Broadridge Financial Solutions, Inc. (the Company) held on November 16, 2011 (the Annual Meeting). The purpose of this Amendment is to disclose the Companys decision regarding how frequently it will conduct future advisory votes on executive compensation. No other changes have been made to the Original Form 8-K.

(d) As previously reported in the Original Form 8-K, an advisory vote was conducted at the Annual Meeting on the frequency of future advisory votes on the Companys executive compensation. The Board of Directors of the Company (the Board) recommended, and the Companys stockholders approved, that future advisory votes on the Companys executive compensation will be held every one year. The Company has decided, consistent with the vote of the Companys stockholders and the recommendation from the Board, to submit a separate resolution on the Companys executive compensation to the Companys stockholders for an advisory vote every one year in its proxy materials (the next such vote being at the 2012 Annual Meeting of Stockholders of the Company) until the next required vote on the frequency of stockholder votes on the compensation of the Companys named executive officers (which would be at the 2017 Annual Meeting of Stockholders of the Company, unless presented earlier).
