ITEM 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 29, 2012, Kathleen LaPorte, a member of the board of directors of Transcept Pharmaceuticals, Inc. (“Transcept”), and a member of its Audit Committee, informed Transcept of her intention to resign from such positions effective April 14, 2012. Ms. LaPorte’s decision was not a result of any disagreement with Transcept. In connection with her resignation, the Board of Directors agreed to accelerate the vesting of Ms. LaPorte’s remaining 5,834 unvested options.
