Item 2.02. Results of Operations and Financial Condition.

On March 1, 2012, Satcon Technology Corporation (the “Company”) issued a press release announcing its financial results for the three and twelve months ended December 31, 2011. A copy of the press release dated March 1, 2012 is attached as Exhibit 99.1 to this Current Report on Form 8-K.

The Company hosted a conference call on March 1, 2012 to review the contents of the press release and to answer questions from investors. A transcript of this conference call is attached hereto as Exhibit 99.2 and is incorporated herein by reference.
