Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On February 28, 2012, Gary J. Konnie, Vice President—Human Resources of U.S. Concrete, Inc. (the “Company”), gave notice of his intention to leave the Company, effective upon the Company’s relocation of its corporate headquarters to Euless, Texas, on or about July 1, 2012.  The Company is beginning a formal search for Mr. Konnie’s replacement.  Mr. Konnie will remain with the Company in the interim and will assist in the orderly transition of the new Vice President of Human Resources.  Upon his departure from the Company, Mr. Konnie will be eligible to receive severance payments pursuant to Section 1.2(a)(ii) of his Executive Severance Agreement, effective October 1, 2010.
