This Form 8-K/A is being filed as an amendment to Current Report on Form 8-K filed on June 13, 2011 (the Original 8-K) by UMH Properties, Inc. (the Company), solely for the purpose of disclosing the determination of the Company’s Board of Directors (the Board) with respect to the frequency of shareholder advisory votes on executive compensation.  This Form 8-K/A does not amend or modify the Original 8-K in any other respect.


Item 5.07 Submission of Matters to a Vote of Security Holders

     

(d)  Consistent with both the Board’s recommendation as set forth in Proposal 4 of the Company’s definitive proxy statement for the Company’s annual meting of shareholders held on June 10, 2011and the voting results with respect to Proposal 4 as disclosed in the Original 8-K, the Board has determined that an advisory vote on the approval of the compensation of the Named Executive Officers will be included in the Company’s proxy materials once every three years until the next required vote on the frequency of shareholder votes on executive compensation.
