PURPOSE OF FILING

The purpose of this filing is to report to you that our Compensation & Benefits Committee has approved changes to the compensation of our Chief Financial Officer.

 

Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On February 22, 2012 our Compensation & Benefits Committee approved, as part of an overall compensation review, an increase in the base salary and target bonus opportunity for Richard H. Veldran, who was appointed as our Chief Financial Officer effective June 1, 2011. His base salary has been increased to $380,000 and his target bonus opportunity is now $285,000. Such compensation is subject to the terms of our ongoing executive compensation programs.
