OTHER EVENTS.

On February 22, 2012, Heritage Financial Group, Inc. issued a press release announcing that its Board of Directors had voted to increase the Company’s quarterly cash dividend to $0.04 per share, representing an increase of 33% from the previous rate. The dividend will be paid on March 23, 2012, to stockholders of record as of March 9, 2012. In the same press release, the Company also announced its annual meeting date. The full text of the press release is set forth as Exhibit 99 to this Current Report on Form 8-K and is incorporated by reference herein.
