Item 2.02 Results of Operations and Financial Condition.
On February 22, 2012, USA Mobility, Inc. (the “Company”) announced operating results for the fourth quarter and year ended December 31, 2011. The full text of the press release issued in connection with the announcement is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated into this Item 2.02 by reference. The information in this Item 2.02 of this Form 8-K and the Exhibit attached hereto shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934 (the “Exchange Act”) or otherwise subject to the liabilities of that section, nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1933 or the Exchange Act, except as expressly set forth by specific reference in such a filing.
Item 8.01 Other Events.
On February 22, 2012, the Company’s Board of Directors declared a regular quarterly dividend distribution of $0.25 per share of common stock. The dividend distribution will be paid on March 30, 2012 to stockholders of record on March 16, 2012. The full text of the press release issued in connection with the declaration is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated into this Item 8.01 by reference.
