Item 8.01. Other Events.

On May 25, 2011, Exelon Corporation (Exelon) and Constellation Energy Group, Inc. (Constellation) filed an application for approval by the Maryland Public Service Commission (PSC) of the proposed merger announced by the companies on April 28, 2011. On February 17, 2012, the PSC issued an order approving the merger. The PSC’s order adds new conditions, but retains many of the terms of the settlement reached in December by the companies, the State of Maryland, the Maryland Energy Administration, the City of Baltimore and the Baltimore Building and Construction Trades Council. The companies have accepted the additional conditions imposed by the PSC’s order.

A copy of the press release concerning the MPSC approval is attached as Exhibit 99.1.
